These Terms and Conditions (the “Terms“) form a legally binding agreement between Frosty Club, LLC dba High Hippy (“High Hippy,” “Company,” “we,” “us,” or “our“) and each person who visits, accesses, uses, or places an order through https://highhippy.com or any related page, feature, content, service, account area, or platform we operate (collectively, the “Site“).

By accessing or using the Site, creating an account, clicking to accept these Terms, checking out, or purchasing any product from us, you acknowledge that you have read, understood, and agree to be bound by these Terms and our policies referenced herein. If you do not agree to these Terms, do not use the Site or purchase our products.

1. DEFINITIONS

For purposes of these Terms, the following definitions apply:

• “Account” means any customer account created on the Site.
• “Customer” means any individual or entity who accesses the Site or purchases from us.
• “Order” means a request submitted by you to purchase products through the Site.
• “Products” means all goods, items, merchandise, accessories, samples, promotional items, and related products offered by High Hippy through the Site.
• “Site” means highhippy.com and any associated pages, subdomains, checkout flows, account areas, content, and services operated by us.
• “User Content” means any review, rating, comment, photo, video, testimonial, message, feedback, or other content submitted by you.

2. ELIGIBILITY AND AGE RESTRICTION

2.1 Age Requirement

You must be at least 21 years of age to use this Site or purchase any Product. By using the Site or placing an Order, you represent and warrant that you are 21 years of age or older.

2.2 Authority and Capacity

You represent and warrant that you have the legal capacity and authority to enter into these Terms and that your use of the Site will comply with all applicable laws, rules, and regulations.

2.3 Right to Refuse Service

We reserve the right, in our sole discretion, to refuse service, cancel Orders, limit quantities, suspend Accounts, request age verification, or restrict Site access at any time, with or without notice, including if we believe you are underage, have provided inaccurate information, or are attempting to purchase or use Products in violation of applicable law.

3. PRODUCTS, LEGALITY, AND COMPLIANCE

3.1 Hemp-Derived Products

High Hippy offers hemp-derived products that are intended to comply with applicable federal hemp standards, including the requirement that Delta-9 THC concentration not exceed 0.3% on a dry weight basis where such standard applies.

3.2 No Representation of Legality in Every Jurisdiction

We do not represent or guarantee that any Product is legal in your city, county, state, tribal jurisdiction, territory, or any other location. Laws and enforcement positions relating to hemp, THCa, and other cannabinoids can change quickly and may differ among jurisdictions.

3.3 Customer Responsibility

You are solely responsible for determining whether it is lawful to purchase, receive, possess, transport, or use our Products in your jurisdiction. By placing an Order, you represent and warrant that your purchase and intended receipt of the Products do not violate any law applicable to you or the delivery destination.

3.4 Right to Restrict Fulfillment

We may decline, cancel, hold, or refund any Order if we determine, in our sole discretion, that fulfillment may violate applicable law, carrier policy, payment processor policy, platform policy, age-restriction requirements, fraud-prevention standards, or other compliance obligations.

4. HEALTH, SAFETY, AND PRODUCT DISCLAIMERS

4.1 FDA Disclaimer

Statements on the Site and regarding our Products have not been evaluated by the United States Food and Drug Administration. Our Products are not intended to diagnose, treat, cure, or prevent any disease.

4.2 No Medical Advice

Nothing on the Site is medical advice, healthcare advice, or a substitute for professional medical guidance. Always consult a qualified healthcare professional before using any hemp-derived product, especially if you are pregnant, nursing, have a medical condition, take prescription medication, or have concerns about possible interactions.

4.3 Use at Your Own Risk

You assume all responsibility for your selection, purchase, possession, transport, use, non-use, or misuse of any Product. You acknowledge that hemp-derived products may affect individuals differently and may not be appropriate for every person or situation.

4.4 Drug Testing

We do not make any guarantee that use of a Product will or will not result in a positive drug test. If you are subject to drug testing, employment screening, athletic compliance rules, court supervision, licensing requirements, or similar restrictions, you should not rely on product descriptions or general cannabinoid terminology as assurance of a negative test result.

5. ACCOUNTS, SITE USE, AND PROHIBITED CONDUCT

5.1 Account Accuracy

If you create an Account, you agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your Account.

5.2 Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose;
• Use the Site if you are under 21;
• Misrepresent your identity, age, or location;
• Attempt to bypass age verification, access controls, security tools, or fraud-prevention measures;
• Interfere with the Site’s functionality, performance, or security;
• Scrape, copy, reproduce, frame, mirror, reverse-engineer, or exploit Site content without authorization;
• Upload malware, malicious code, or harmful files;
• Use automated systems, bots, or scripts to place Orders, harvest data, or abuse the Site;

• Submit false claims, false reviews, or fraudulent chargebacks.

5.3 Suspension and Termination

We may suspend or terminate your access to the Site or your Account at any time, with or without notice, if we believe you have violated these Terms, created risk for us or others, or engaged in suspected fraud, misuse, or unlawful conduct.

6. ORDERS, PRICING, AND PAYMENT

6.1 Order Acceptance

Your Order is an offer to purchase. We reserve the right to accept or reject any Order in our sole discretion. An Order is not final or binding on us until it has been accepted and processed by us. Confirmation that we received your Order does not mean that the Order has been accepted.

6.2 Pricing and Availability

All prices, Product descriptions, promotions, inventory, and availability are subject to change at any time without notice. We make reasonable efforts to present accurate pricing and product information, but errors may occur. If a pricing, promotional, or content error occurs, we may cancel or refuse the affected Order even after submission.

6.3 Payment Authorization

By submitting payment information, you represent and warrant that you are authorized to use the selected payment method and authorize us and our payment processors to charge the full amount due, including applicable taxes, shipping charges, and other disclosed charges.

6.4 Fraud Screening

We reserve the right to perform age verification, identity verification, address verification, order screening, payment screening, and fraud-prevention review before accepting, processing, or shipping any Order.

6.5 Chargebacks and Payment Disputes

You agree not to initiate a chargeback or payment dispute in bad faith. If you believe there is an issue with your Order, you agree to contact us first so we can review and attempt to resolve the issue. We reserve all rights to contest improper chargebacks and to suspend future purchasing privileges where warranted.

7. SHIPPING, DELIVERY, AND RETURNS

7.1 Shipping Limitations

We ship only where we choose to do so and where we believe shipment is permitted. Shipping availability may change at any time without notice based on law, policy, carrier restrictions, compliance requirements, operational decisions, or risk assessment.

7.2 Delivery Estimates

Any shipping or delivery timeframe displayed on the Site is an estimate only and is not guaranteed. Carrier delays, weather, compliance review, age verification, address issues, and operational volume may affect transit time.

7.3 Risk of Loss and Address Accuracy

You are responsible for providing a complete and accurate shipping address and for receiving the package in compliance with applicable law. Risk of loss and title transfer as permitted by applicable law upon delivery to the carrier or upon delivery to the address provided, depending on the circumstances and governing law.

7.4 Returns, Replacements, and Refunds

Returns, replacements, and refunds are subject to our then-current Shipping & Returns policy, which may be updated from time to time. We may require prior approval, supporting information, photographs, return instructions, or use of a Company-issued return label before processing a refund or replacement.

7.5 Refused, Undeliverable, or Restricted Orders

If an Order is refused, undeliverable, returned by the carrier, flagged for compliance concerns, or determined to be prohibited for the destination, we may deduct shipping costs, return costs, processing fees, or losses permitted by applicable law before issuing any refund.

8. REVIEW INVITATIONS, COMMUNICATIONS, AND CUSTOMER CONSENT

8.1 Transactional and Service Communications

By creating an Account, placing an Order, or providing your contact information to us, you consent to receive transactional and service-related communications from us relating to your Account, Orders, payments, shipping, delivery, returns, age verification, fraud-prevention review, policy updates, customer support, and similar operational matters. These communications are part of our service relationship with you and are not conditioned on separate marketing consent.

8.2 Review Invitation Communications

To the extent permitted by applicable law, we may send you one or more follow-up communications requesting a review of your order, purchased Products, or overall shopping experience. These communications may be sent by High Hippy or by a service provider acting on our behalf.

8.3 Explicit Consent Where Required

Where applicable law requires explicit consent before sending a review invitation, we will request that consent through an unchecked checkbox, similar affirmative mechanism, or another legally sufficient consent flow. If you affirmatively provide that consent, you agree that we may send review invitation communications to the email address or other contact information associated with your Order.

8.4 Consent Is Not a Condition of Purchase

Your consent to receive review invitations is not required to complete a purchase and is not a condition of buying any Product from us.

8.5 Withdrawal of Consent

You may withdraw consent to receive review invitation communications at any time by using the unsubscribe mechanism included in the message, if available, or by contacting us using the information in Section 14. Withdrawal of consent for review invitations will not affect transactional or service-related communications that we may still need to send regarding your Orders or Account.

9. REVIEWS, RATINGS, TESTIMONIALS, AND USER CONTENT

9.1 Review Standards

If you submit a review, rating, testimonial, comment, photo, video, or other User Content, you represent and warrant that it is truthful, based on your actual experience, does not violate any law or third-party right, and does not contain false claims, impersonation, unlawful content, or misleading statements.

9.2 Content We May Remove

We reserve the right, but not the obligation, to monitor, review, edit, refuse, remove, or moderate User Content in our sole discretion, including content that is unlawful, misleading, offensive, abusive, irrelevant, fraudulent, infringing, or inconsistent with our policies or legal obligations.

9.3 License to Use User Content

By submitting User Content to us, you grant High Hippy a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, display, publish, adapt, distribute, translate, create derivative works from, and otherwise use that User Content in any media or channel for business, promotional, merchandising, legal, operational, or marketing purposes.

9.4 Name and Likeness

To the extent included in User Content, you grant us the right to use your first name, initials, username, likeness, image, voice, and other identifying elements you voluntarily provide in connection with the display or use of your User Content.

9.5 No Obligation to Publish

We are not obligated to display, maintain, or publish any review or User Content, and we may remove or stop displaying any User Content at any time.

10. INTELLECTUAL PROPERTY

10.1 Company Property

All Site content, designs, text, graphics, logos, icons, images, audio, video, software, code, product names, branding, trade dress, layout, and other materials are owned by or licensed to High Hippy and are protected by applicable intellectual property and unfair competition laws.

10.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal, lawful, non-commercial use in connection with shopping with High Hippy. No other right or license is granted.

10.3 Restrictions

You may not copy, reproduce, modify, distribute, republish, sell, license, exploit, or create derivative works from any Site content except with our prior written consent.

11. DISCLAIMER OF WARRANTIES

THE SITE, ALL CONTENT, AND ALL PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

We do not warrant that the Site, its servers, our emails, or communications sent by us or on our behalf will be free of viruses, malicious code, interruptions, or harmful components.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIGH HIPPY, FROSTY CLUB, LLC, AND OUR OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUCCESSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER LOSSES ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE SITE, YOUR PURCHASE OR USE OF PRODUCTS, YOUR RELIANCE ON SITE CONTENT, OR YOUR VIOLATION OF THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE, ANY PRODUCT, OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU ACTUALLY PAID TO US FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless High Hippy, Frosty Club, LLC, and our officers, directors, members, employees, contractors, agents, affiliates, successors, and service providers from and against any and all claims, demands, actions, damages, liabilities, losses, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• Your breach of these Terms;
• Your misuse of the Site or Products;
• Your violation of any law, rule, or regulation;
• Your User Content;
• Your infringement or violation of any third-party right; or
• Your fraud, negligence, willful misconduct, or unauthorized use of another person’s payment method, identity, or information.

14. PRIVACY, CHANGES, GOVERNING LAW, AND CONTACT INFORMATION

14.1 Privacy

Your submission of personal information through the Site is subject to our then-current privacy practices and disclosures. By using the Site or placing an Order, you acknowledge that we may collect, use, store, process, and share information as necessary to operate the Site, fulfill Orders, comply with law, prevent fraud, verify age, provide customer support, and send permitted communications.

These Terms and any dispute arising out of or relating to the Site, any Order, any Product, or these Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict of law principles, except to the extent applicable federal law controls.

14.4 Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be enforced to the maximum extent permitted by law.

14.5 Waiver

No waiver by us of any provision of these Terms shall be deemed a continuing waiver of that provision or any other provision.

14.6 Entire Agreement

These Terms, together with any policies or terms expressly incorporated by reference, constitute the entire agreement between you and us regarding your use of the Site and purchase of Products, and supersede all prior or contemporaneous communications and understandings on those subjects.
